Carson McDowell advises on the sale of AGR Automation to Convergix Automation

Carson McDowell recently advised the shareholders of AGR Automation on the sale of AGR Automation to Convergix Automation Solutions.

AGR Automation has world-leading expertise in bespoke automation solutions as well as parts handling and orientation for difficult automation assembly processes. The business, founded in 1970, is based in Scotland and employs approximately 130 staff across three locations in Scotland, England and Northern Ireland.

Convergix is an automation solutions company backed by leading US private equity firm Crestview Partners. Convergix specialises in automation, information systems, robotics, material handling and control systems. The acquisition of AGR represents the first for Convergix in Europe and the third investment in Crestview's strategy to build Convergix into a $1Bn revenue diversified global automation solutions provider

Derek Gaston, the former shareholder and managing director at AGR, said:

“We chose to work with Carson McDowell specifically due to prior experience working with partners Gerard Armstrong and Dawson McConkey, who impressed us greatly. Our experience with Gerard and the specific personnel at Carson McDowell is that this team brings a level of expertise and responsiveness combined with practical commercial advice that is lacking in most firms. Expert knowledge of the law is simply the starting point and should be a given for any firm; what differentiates Carson McDowell is the ability to translate that into relevant commercial advice specific to the situation. This was an intense process but remained enjoyable thanks to the guidance of Gerard and the team, while maintaining an appropriate degree of good humour throughout.”

Gerard Armstrong, Partner in Carson McDowell’s M&A team, said:

“We are delighted to have worked with the shareholders of AGR Automation on this transaction. In AGR Automation and its subsidiary, Aylesbury Automation, the shareholders have built a tremendous organisation, with a real focus on meeting (and, indeed, exceeding) client expectations, a high degree of innovation and an impressive management team who understand every inch of their businesses and responsibilities. Working together with Johnston Carmichael and the shareholders of AGR Automation has been a very enjoyable experience. The future for AGR Automation continues to look very bright.”

The Carson McDowell team was led by Gerard Armstrong, with Rachel Penny, Dawson McConkey, Kathryn Laverty, Emma Cooper, Josh Hunter, and Clara Eccles also advising.
